Terms and Conditions of Sale

Last updated: 06.10.2026

Applicability

The following Terms are applicable to all the contracts, which You conclude with us as a Trader (Divima SA) via the theheritageties.com Platform.

Subject-matter of the Contract of Sale

The subject-matter of the contract is the selling of products. Our offers on the website are non-binding and are not a binding offer to conclude a contract.

Contract conclusion

By completing the checkout process and providing the required personal data, the Consumer submits a binding offer to conclude a sales contract.

Contract language shall be English.

The Trader accepts the Consumer’s offer immediately after the order is placed. At that time, the purchase price is charged in accordance with the selected payment method.

The Consumer will receive an email confirming that the order has been accepted and the contract is concluded, including the checkout confirmation, invoice, and all legally required information.

Order processing and communication take place by email. The Consumer must ensure that the email address provided is accurate and that receipt of emails from the Trader is technically possible, in particular by checking spam filters and mailbox settings.

Information provision

Trader will send to Consumer the following information, by electronic means, or in such a way that Consumer can store it on an accessible Durable Medium:

·    the address of Trader’s location where Consumer can lodge complaints;

·    the conditions under which Consumer can make use of the Right of withdrawal and the method for doing so, or a clear statement relating to preclusion from the Right of withdrawal;

·    the price, including all taxes on the product, service or digital content; the costs of delivery insofar as applicable, and the method of payment, delivery or implementing the distance contract;

·    the requirements for terminating the contract;

·    if Consumer has a Right of withdrawal, the Model form for Right of Withdrawal;

·    Trader’s identity, registered office and contact details;

·    a reminder of the existence of the legal guarantee of conformity, using the harmonised notice required under Directive (EU) 2024/825 from 27 September 2026.

Legal guarantee of conformity

The statutory warranty rights are applicable. Trader guarantees that the products and/or services fulfill the contract, the specifications stated in the offer, the reasonable requirements of reliability and/or serviceability and the statutory stipulations and/or government regulations that existed on the date that the contract was concluded. As a Consumer, You benefit from the legal guarantee of conformity for at least two years from delivery, under Articles 128 and following of the Italian Consumer Code and the corresponding laws of Your country of residence. It is free of charge: You may ask for repair or replacement and, where these are not possible, a price reduction or termination of the contract.

As a Consumer, You are requested to promptly check the product for completeness, visible defects and transport damage as soon as it is delivered, and promptly disclose your complaints to us and the shipping company in writing. Even if You do not comply with this request, it shall have no effect on Your legal warranty claims. You must inform us of a lack of conformity within two months of discovering it, as Italian law requires.

Main features of the product

The key features of the goods can be found in the respective quote.

The quote contains a complete and accurate description of the products. The description is sufficiently detailed to enable Consumer to make a proper assessment of the product. If Trader makes use of illustrations, these will be a true representation of the products. Trader is not bound by obvious errors or mistakes in the description.

Deviations

Trader cannot guarantee that the color, size and/or text of the product as shown on the website are exactly similar to the product as delivered to Consumer by Trader. This does not affect Your rights under the legal guarantee of conformity.

Prices and payment arrangements

The prices mentioned in the respective offers represent total prices. They include all the price components, including all the incidental taxes.

The dispatch costs that are incurred are not included in the purchase price. They can be viewed by clicking the appropriate button on our website or in the respective quote, are shown separately over the course of the order transaction and must additionally be borne by you, insofar as free delivery is not confirmed.

You must bear the costs arising from money transfers in cases in which the delivery is made to an EU Member State, but the payment is initiated outside of the European Union.

The payment methods that are available to You are shown by clicking the appropriate button on our website or are disclosed in the respective quote.

Payment method

You can pay by the payment methods shown at checkout. The methods available may depend on Your country and Your device.

Card and wallet payments are processed by Shopify Payments. When You pay with Shop Pay, Shopify also processes Your payment and account information under its own terms and privacy policy.

Trader does not receive or store Your full card details. The purchase price is charged when Your order is accepted, as described under "Contract conclusion".

Delivery conditions

The Customer agrees to the shipping methods, delivery conditions, and applicable charges as stated in our Shipping Policy.

When products have different delivery dates, the Customer accepts that the entire order may be shipped together, following the item with the longest delivery time.

Trader will take the greatest possible care when receiving and implementing orders for products and when assessing applications for the provision of services.

The place of delivery is deemed to be the address that Consumer makes known to Trader.

Trader will implement accepted orders with efficient expedition, though at the latest within 30 Days, unless a different period of delivery has been agreed. If delivery suffers a delay, or if the delivery cannot be implemented, or only partially, Consumer will be informed about this at the latest 30 Days after the order was placed. In this case, Consumer has a right to dissolve the contract free of charge and a right to possible damages.

Following dissolution in accordance with the previous paragraph, Trader refunds Consumer immediately the sum he had paid.

If You are a Consumer, the following is statutorily regulated: the risk of the sold item accidentally being destroyed or degraded during shipping only passes over to You when the item in question is delivered, regardless of whether or not the shipping operation is insured. This condition does not apply if You have independently commissioned a transport company that has not been specified by us or a person who has otherwise been appointed to execute the shipping operation.

The delivery conditions, delivery date and existing supply restrictions, if applicable, can be found by clicking the appropriate button on our website or in the respective quote.

Intellectual property

Trader owns all intellectual property rights related to the product.

Force Majeure

In the event of force majeure Trader has the right to suspend all its obligations under these Terms of Sale as well as other applicable laws and regulations.

Event of force majeure includes: war, military actions, blockade, strikes, custom & delivery problems (which do not arise from the liable action of the Trader), embargoes or other international sanctions, currency restrictions, prohibitive or restrictive actions by government authorities that make it impossible for the Parties to fulfill their obligations, as well as fires, floods, or other natural disasters.

If any of the above circumstances directly affect the deadlines for fulfilling obligations stipulated in this Contract, such deadlines shall be extended for the duration of these circumstances.

In the event it is clear that the period of force majeure will last longer than two months, either party may terminate the contract, and Trader will refund any amount paid for products not delivered.

Questions and Complaints

Questions and complaints can be sent to contact@theheritageties.com. Trader acknowledges each complaint within [5] working days and answers it within [14] Days.

A complaint about a lack of conformity of a product is handled under the legal guarantee of conformity. You keep Your rights under the legal guarantee provided You inform Trader within two months of discovering the lack of conformity.

Right of Withdrawal

When purchasing products, Consumer has the right to dissolve a contract, without giving reasons, during a period of at least 14 Days. Trader is allowed to ask Consumer for the reason of this dissolution, but Consumer is under no obligation to state his / her reason(s).

The period stipulated in paragraph 1 commences on the Day after the product was received by Consumer, or a third party designated by Consumer, who is not the transporting party, or:

·    if Consumer has ordered several products: the Day on which Consumer, or a third party designated by Consumer, received the last product. Trader may refuse a single order for several products with different delivery dates, provided he clearly informed Consumer of this prior to the ordering process;

·    if the delivery of a product involves different deliveries or parts: the Day on which Consumer, or a third party designated by Consumer, received the last delivery or the last part.

·     with contracts for the regular delivery of products during a given period: the Day on which Consumer, or a third party designated by Consumer, received the last product.

If Trader did not provide Consumer with the statutorily obligatory information about the Right of Withdrawal or if the Model Form for Right of Withdrawal was not provided, the Withdrawal Period ends twelve months after the end of the originally stipulated Withdrawal Period based on the previous paragraphs of this article.

If Trader provided Consumer with the information referred to in the previous paragraph within twelve months of the commencing date of the original Withdrawal Period, the Withdrawal Period shall end 14 Days after the Day on which Consumer received the information.

How to withdraw. You can withdraw using the withdrawal function “Withdraw from contract here” on the Platform, available [insert location, e.g. in Your account and through the link in the order confirmation e-mail] throughout the withdrawal period; by sending the model form in Appendix I; or by any other clear statement to contact@theheritageties.com. After You use the withdrawal function, Trader confirms receipt of Your withdrawal on a durable medium without undue delay.

Return of products. You must send the products back without undue delay and in any event within 14 Days after informing Trader of Your withdrawal, to [insert return address]. You bear the direct cost of returning them[, unless Trader has agreed to bear it]. You are liable only for any diminished value resulting from handling beyond what is necessary to establish their nature, characteristics and functioning.

Refund. Trader refunds all payments received from You, including the standard delivery costs, without undue delay and in any event within 14 Days of being informed of Your withdrawal, using the same means of payment unless You expressly agree otherwise. Trader may withhold the refund until it has received the products back or You have supplied evidence of having sent them back, whichever is earlier.

Exception. [If applicable:] The right of withdrawal does not apply to products made to Your specifications or clearly personalised, such as [insert, e.g. monogrammed ties].
